Oct, 25 (Reuters) - Fortive (FTV.N), whose industrial measurement equipment and software-enabled automation are used in a range of industries, cut its full-year profit forecast on Wednesday due to inflationary pressures and ongoing supply chain snarls. The company, whose technology is used in industries ranging from hospitals to construction and broadcast to food, now expects full-year earnings per share of $2.30 to $2.33. It had forecast earningws of $2.38 to $2.44 per share earlier. Oct 23 (Reuters) - Industrial technologies company Fortive Corporation (FTV.N) on Monday said that it entered into a definitive agreement to acquire German manufacturer EA Elektro-Automatik Holdings GmbH for $1.45 billion in cash. Elektro-Automatik makes test solutions for energy storage, mobility, hydrogen, and renewable energy markets. Reuters reported earlier this month that Emerson Electric Co (EMR.N) and Keysight Technologies Inc (KEYS.N) had also expressed interest in buying the German manufacturer. Emerson now expects its fiscal 2023 adjusted profit from continuing operations between $4.40 and $4.45 per share, up from its previous outlook of $4.15 to $4.25 per share. The company also expects its 2023 revenue to grow about 10.5%, at the higher end of a 9%-to-10.5% growth it forecast earlier. The industrial conglomerate reported adjusted earnings per share of $1.29 for the quarter through June, beating analysts' average estimates of $1.10 per share.

The purchase will allow Emerson to tap NI's software-connected automated test and measurement systems for higher growth and margins in its automation portfolio. Emerson has executed a string of deals over the last few years to streamline itself into an industrial automation provider. The NI deal is expected to close in the first half of Emerson's fiscal 2024. Goldman Sachs & Co LLC and Centerview Partners LLC were financial advisers to Emerson on the deal, while Davis Polk & Wardwell LLP was its legal adviser.

Emerson dropped that threat once the sale process for National Instruments got underway. National Instruments ended trading on Thursday at $50.62 a share. National Instruments expects the sale process to be completed by early April, according to the sources. National Instruments, Fortive and Keysight did not immediately respond to requests for comment. Jan 23 (Reuters) - U.S. industrial software firm Emerson Electric Co (EMR.N) said on Monday it would not nominate candidates for election to the board of testing and measurement equipment maker NI Corp (NATI.O) and kept its buyout offer price unchanged. Emerson last week disclosed a hostile $53-per-share offer for NI, which it has been trying to buy unsuccessfully for several months, as it looks to capitalize on upbeat demand in the automation sector. "We are optimistic that the NI Board has commenced a process that we believe will lead to the sale of the company. NI has also confirmed Emerson will be a participant in that process," Emerson said. Emerson Electric, a St. Louis-based technology and engineering company, said it was offering $53 a share in cash for National Instruments, giving it an enterprise value of $7.6 billion. The offer represents a 32% premium over National Instruments’ closing price from last Thursday, the day before it said its board was evaluating strategic alternatives and had already been approached by potential acquirers.

Oct 31 (Reuters) - Emerson Electric Co (EMR.N) will sell a majority stake in its climate technologies unit to Blackstone Inc (BX.N) in a deal that values the business at $14 billion, as the U.S. industrial firm pivots to supplying to a booming automation market. Emerson's shares edged up 1% in a weak broader market as the company also beat fourth-quarter earnings and revenue. The Climate Technologies business, which will be structured as a joint venture, generated net sales of $5 billion in fiscal 2022. Emerson said it plans to use proceeds from the deal to invest in automation-related businesses and spend around $2 billion on share repurchases in 2023. Centerview Partners LLC and Goldman Sachs are financial advisers to Emerson, while Barclays is the lead financial adviser to Blackstone.
